These Terms of Service ("Terms") govern your access to and use of the Prolifik website, software, APIs, and related services (collectively, the "Service") operated by Plant science, MB, a private limited liability company registered in the Republic of Lithuania under registration code 305655144 ("Prolifik", "we", "us", or "our").
By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy and Acceptable Use Policy. If you do not agree, you must not use the Service.
If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization, and "you" will refer to that organization.
2. The Service
Prolifik is an AI-powered platform that helps users generate short-form video content from text prompts, URLs, and other inputs. The Service may include content generation, scheduling, publishing to connected third-party platforms, analytics, and related features.
Features, capabilities, and output formats may change, be added, or be removed from time to time without prior notice. We may impose usage limits, quotas, or fair-use restrictions to protect the Service and other users.
3. Accounts & Eligibility
You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service. You must provide accurate, current, and complete information when creating an account and keep that information up to date.
You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You must notify us immediately at info@getprolifik.com if you suspect unauthorized access.
We may refuse, suspend, or terminate accounts at our discretion where permitted by law, including where we reasonably believe the account is used in breach of these Terms.
4. Subscriptions & Billing
4.1 Plans and fees
Access to paid features requires a subscription. Pricing, billing cycles, included usage, and overage rates are published on our pricing page and may be updated from time to time. All prices are exclusive of applicable taxes unless stated otherwise. VAT will be added where required by Lithuanian or EU law.
4.2 Payment and auto-renewal
Subscriptions renew automatically at the end of each billing period using your stored payment method, unless cancelled before the renewal date. You authorize us and our payment processors to charge the applicable fees.
4.3 Cancellation
You may cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period; you retain access until that time.
4.4 Refunds
Except where required by Lithuanian or EU consumer law, fees are non-refundable. Unused credits have no cash value.
4.5 EU consumer right of withdrawal
If you are a consumer resident in the EU, you may have a 14-day right of withdrawal from the date you subscribe. By starting to use the Service (including generating content) during this period, you expressly request immediate performance and acknowledge that your right of withdrawal will be lost once the Service has been fully performed.
5. User Content & Licenses
5.1 Your content
"User Content" means any input, prompt, text, image, audio, video, URL, brand asset, or other material you submit to the Service. You retain all rights you hold in your User Content.
5.2 License to us
You grant Prolifik a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, adapt, and transmit your User Content solely to operate and provide the Service to you, including generating Output, publishing to platforms you authorize, and for internal diagnostics and abuse prevention.
5.3 Your warranties
You warrant that you own or have the necessary rights to all User Content you submit, and that our use of it under these Terms will not infringe any third-party rights or violate applicable law.
5.4 Model training
We do not use your User Content or Output to train foundation models operated by third-party providers without your consent. Aggregated and anonymized usage data may be used to improve the Service.
6. AI-Generated Output
"Output" means content generated by the Service based on your input. Subject to your compliance with these Terms, you own the Output you generate, to the extent such ownership is available under applicable law.
You acknowledge that:
Output may be similar or identical to output generated for other users who submit similar prompts; we do not guarantee exclusivity.
Copyright protection for AI-generated works varies by jurisdiction; we make no representation about the copyrightability of any specific Output.
Output may be inaccurate, biased, or unsuitable for your purpose. You are solely responsible for reviewing, verifying, and deciding whether to use or publish Output.
You are responsible for ensuring Output complies with all laws, platform rules, advertising standards, and applicable disclosure requirements (for example, AI Act transparency obligations where they apply).
7. Acceptable Use
Your use of the Service is subject to our Acceptable Use Policy, which is incorporated by reference. In short, you may not use the Service to create or distribute content that is illegal, infringing, deceptive, hateful, sexually explicit involving minors, or that violates third-party rights or platform policies.
8. Intellectual Property
The Service, including software, design, trademarks, and all underlying technology, is owned by Plant science, MB or its licensors and is protected by copyright, trademark, and other laws. Except for the limited rights expressly granted to you, no rights are transferred.
"Prolifik" and the Prolifik logo are trademarks of Plant science, MB. You may not use them without our prior written consent.
9. Third-Party Platforms
The Service may connect to third-party services such as Instagram, TikTok, YouTube, LinkedIn, or other platforms. Your use of those services is subject to the respective provider's terms and privacy policies. We are not responsible for third-party services and do not guarantee their availability, accuracy, or performance.
You are responsible for complying with the rules of every platform you publish to via the Service, including rules on AI-generated content, disclosures, sponsored content, and impersonation.
10. Suspension & Termination
We may suspend or terminate your access to the Service, with or without notice, if we reasonably believe you have breached these Terms, created risk or legal exposure for us, or engaged in fraudulent or unlawful activity.
On termination: your right to use the Service ends, any outstanding fees become due, and we may delete your account and User Content after a reasonable retention period, subject to our legal obligations.
11. Disclaimers
To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted or error-free operation.
We do not warrant that Output will be accurate, reliable, complete, or suitable for any specific use. Your use of Output is at your own risk.
Nothing in these Terms limits any rights you have under mandatory consumer protection laws that cannot be excluded by contract.
12. Limitation of Liability
To the maximum extent permitted by law, in no event will Prolifik, its affiliates, directors, employees, or suppliers be liable for: (a) any indirect, incidental, special, consequential, exemplary, or punitive damages; (b) loss of profits, revenue, data, goodwill, or business opportunity; or (c) damages exceeding, in aggregate, the greater of EUR 100 or the fees you paid to us in the 12 months preceding the event giving rise to the claim.
Nothing in this section limits liability for fraud, gross negligence, wilful misconduct, death or personal injury caused by our negligence, or any other liability that cannot be limited under applicable law.
13. Indemnity
You agree to indemnify and hold harmless Plant science, MB and its affiliates, officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to your User Content, your Output, your use of the Service, or your breach of these Terms.
14. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified by email or through the Service at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
15. Governing Law & Disputes
These Terms are governed by the laws of the Republic of Lithuania, without regard to conflict-of-law rules. Any dispute arising out of or in connection with these Terms will be submitted to the exclusive jurisdiction of the competent courts of Vilnius, Lithuania, unless mandatory consumer protection law provides otherwise.
If you are a consumer resident in the EU, you may also lodge a complaint using the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
